Market
Feasibility Study. All new projects have to provide
demonstrable evidence of market support for the proposed
development. An independent market feasibility study is used to
demonstrate to investors that someone other than the issuer has looked
at the market and reasonably believes that entrenched demand exists
for the type of project being developed. The market feasibility
study will be presented in the private placement offering memorandum
(also called a "PPM") as a summary, but the full text of the
document must be made available to subscribers on demand. This
is typically accommodated via a web document posting.

Financial
Feasibility Study. The results of the market feasibility
study are used to create a pro forma financial presentation that
details the revenues, operating expenses, non-operating expenses and
capital expenses of the proposed project on a month-by-month basis for
a prototypical 5-year forecast window. A summary of the key
findings and main FASB schedules are included in the body of the PPM
with the full text of the document being made available as is the case
with the market feasibility study.

Capital
Funding Plan Proposal. The PPM will also include a
disclosure regarding all of the components of the proposed capital
funding structure of the resulting project. These disclosures
must demonstrate that all the required funding is "on the
table" - meaning the other funding components that are not part
of the securities float are committed to the project and/or readily
available to the project once the issue closes.
