Our primary goal is to create a structured finance solution so as to allow the
developer to acquire at-risk equity real estate investment capital

investing-public has a high expectation that, if the project is ultimately
successful in the market (i.e.: the project does in fact lease up to its
projected maximum sustainable operating capacity), the investing-public will be
in the position to cash-in on the transaction by having provided construction
phase risk capital for the developer. Earnings

Each
syndication is typically undertaken via a tenants-in-common fractional real
estate ownership syndication plan that is sufficient to meet our four-tier test
requirements, which are (in order):

Acquire enough
syndication sales (to the investing-public) so as to allow the
developer/sponsor to close escrow on a construction mortgage financing loan
of sufficient size to fully capitalize the construction and development
activities necessary to bring the project online and reach its maximum
sustainable operating capacity; then

If the first
level is reached, the second level (reached by continuing sales beyond the
minimum requirements) is that level of syndication sales necessary to allow
the developer/sponsor to induce a commercial bank (or other lender) to
provide a non-recourse construction mortgage financing loan for the project;
then

If the first
and second levels have been reached, the third level of sales is that level
which allows the developer to withdraw the developer's seed capital (making
it available to immediately commence development on another commercial
income-producing property if the developer so desires); then

If the first
three levels have been reached, the final level is the continuing
syndication sales process where the net sales proceeds are used for
retirement of all the liabilities of the project where it can be
accomplished, including long-term debt (the remaining commercial
construction loan outstanding balance) so as to eliminate the
investing-public's risk of total investment loss due to a foreclosure or
bankruptcy event.
